- Israel Lee Armstead is the sole voting Founder-Member. One member, one vote — and it is his.
- He elects and removes every director. His own Founder-Director seat carries no term expiration.
- He appoints and removes the officers.
- Elvia G. Armstead is Trust Protector, with consent locks over dissolution, merger, major asset sales, tax-status or purpose changes, and amendments to the entrenched provisions.
- The entrenched provisions require the written consent of both the Founder-Member and the Trust Protector.
The exact filing action
“Once the Chairman approves: prepare the Florida Articles of Amendment/Restatement, file it with the Division of Corporations, retain the stamped copy, and update the registered-agent/office records if anything changed.”
